1. Scope
These General Terms and Conditions of Sale (hereinafter "GTC") apply to all sales of replacement accessories concluded between Axiomes Engineering SA, with its registered office at Chemin de l'Orio 30A, CH-1032 Romanel-sur-Lausanne, registered in the Swiss Commercial Register under number CHE-114.675.073, and its customers (hereinafter "the Customer"), whether they are consumers or professionals. The Customer confirms that they have read and understood these terms and conditions. Axiomes Engineering SA reserves the right to modify them at any time. In the event of any discrepancy between the English version and the foreign language versions of the terms and conditions, the English version shall prevail.
2. Order and conclusion of the contract
The Customer's order constitutes a binding offer to purchase. The contract is deemed to be concluded upon written confirmation (including email) of the order by Axiomes Engineering SA.
3. Prices
Prices are quoted in Swiss francs (CHF), including VAT.
4. Payment
Payment is due within 14 days of the invoice date, unless otherwise agreed. In the event of failure to meet the agreed payment deadline, the buyer shall be liable to pay interest on arrears at a rate of 8% from the due date, without further reminder. Any reminder and collection costs shall be reimbursed to Axiomes Engineering SA by the buyer.
The offsetting of counterclaims is prohibited, unless they have been recognized and accepted by Axiomes Engineering SA or established by a court of law.
5. Delivery
Orders and deliveries are generally made in Switzerland and the Principality of Liechtenstein. Delivery is made within the limits of available stock from our warehouse in Switzerland.
6. Retention of title
The delivered goods remain the property of Axiomes Engineering SA until full payment has been made.
7. Warranty, manufacturing defects, and complaints
Axiomes Engineering SA guarantees that the items ordered are free from defects and will function properly for two years after delivery, excluding damage due to wear and tear resulting from use. Axiomes Engineering SA shall, at its own discretion and by mutual agreement with the customer, decide either to replace the damaged item (where possible) at no cost to the customer, or to cancel the order and refund the customer if the latter has already made payment. For the rest, the exclusions of liability apply in accordance with Article 8. Any complaints must be made in writing within 7 days of receipt of the goods.
8. Liability
Liability is governed by the provisions of the law. However, Axiomes Engineering SA shall never be held liable for (i) slight negligence, (ii) direct, indirect, and consequential damages, loss of profits, (iii) unrealized savings, and (iv) damages resulting from delayed delivery, and (v) any actions or omissions of Axiomes Engineering SA's auxiliary personnel, whether within the scope of a contract or outside of any contract.
Furthermore, Axiomes Engineering SA shall not be liable for any damages resulting from any of the following causes:
• Inadequate, contrary to the contract or unlawful storage, positioning or use of the item;
• Lack of maintenance and/or inappropriate modification or repair by the customer or a third party;
• In the event of force majeure, in particular damage caused by the elements, humidity, falls, blows, etc., which cannot be attributed to Axiomes Engineering SA.
9. Returns
In principle, there is no right of return on delivered items. However, Axiomes Engineering SA accepts returns of items sent back within a maximum of 14 days from the date of shipment. Items must be returned at the customer's expense and must be new and unused. Axiomes Engineering SA reserves the right to refuse returns of items that show any signs of use. Beyond the aforementioned period, no requests for exchange or refund will be accepted.
10. Applicable law and jurisdiction
The legal relationship between Axiomes Engineering SA and the buyer is governed exclusively by Swiss law. Any disputes arising from the contractual relationship between Axiomes Engineering SA and the buyer shall be settled by the ordinary court of the place of business of Axiomes Engineering SA.
